CONSTITUTION

The name of the Society is the SUSSEX STRAGGLERS.

  1. The object of the Society is to provide good quality activities for its members. In furtherance of this object the Society will; a) Plan an annual series of events which all members of the Society will be eligible to take part. b) Nominate chosen UK registered charities to which fund raising events will submit monies. c) Engage in social events and activities which support the Society.
  2. The Society is non-party political and non-sectarian.
  3. The President of the Society will remain in the said position on a two yearly basis.
  4. The management of the Society is vested in a Management Committee consisting of the following Officers; Chairman, Secretary, Treasurer, Webmaster together with two other executive members. Total membership of the Committee is therefore 6.
  5. The Officers and Management Committee will be elected at the Annual General Meeting starting in November 2011 and will serve for two years until the commencement of the Annual General Meeting.
  6. 3 members of the Management Committee constitute a quorum for decision-making purposes.
  7. The Management Committee has the power to co-opt a maximum of 2 further executive members.
  8. The Management Committee may appoint sub-committees, as it deems necessary (for example ‘Competitions’, ‘Tour’ and ‘Disciplinary’), and shall prescribe their function provided that all acts and proceedings of any such sub-committee shall report to the Management Committee as soon as possible and provided further that no such sub-committee shall expend funds of the Society otherwise than in accordance with the budget agreed by the Committee.
  9. Management Committee meetings will be held when deemed necessary by the committee.
  10. The Annual General Meeting will be held in November. At the Annual General Meeting, the chair shall be taken by the Chairman.
  11. Every two years, nominations will be proposed and seconded by members present at the meeting and should have the consent of the nominee. Nominations may be made at any time prior to the commencement of the Annual General Meeting.
  12. The Management Committee will fill casual vacancies (up to a maximum of two) by co-option until the next Annual General Meeting.
  13. One Auditor who is not a member of the Committee will be selected to audit the accounts and books of the Society.
  14. Special General Meetings may be called at the written request of a minimum of 10 members of the Society.
  15. Thirty days notice must be given of any Special General Meeting to all members of the Society.
  16. The Treasurer is responsible for keeping account of all Income and Expenditure and will present a financial report to Management Committee meetings when requested. He will present the account, duly audited, for approval by the members at the Annual General Meeting.
  17. The bank account will be operated in the name of the Society and withdrawals will be made on the signature of any two members of the Society (usually members of the Management Committee).
  18. The financial year will commence on 1st December.
  19. Any matter not provided for in the Constitution and concerning the organisation and activities of the Society will be dealt with by the Management Committee whose decision will be final.
  20. No alteration to the Constitution may be made except at the Annual General Meeting or a Special General Meeting called for this purpose. Alteration to the Constitution must receive the assent of two thirds of the members present and voting at an Annual General Meeting or Special General Meeting.
  21. The Society may be dissolved by a resolution presented at a Special General Meeting called for this purpose. The resolution must have the assent of two thirds of those present and voting. Such a resolution may give instructions for the disposal of any assets remaining after satisfying any outstanding debts and liabilities. These assets will not be distributed among the members of the Society but will be given to a nominated UK registered charity.
